Terms of Service

These Terms of Service ("Terms") govern your access to and use of Broto (the "Service"), operated at brotoai.com. By creating an account or using the Service, you agree to these Terms. If you use Broto on behalf of a firm, you agree to these Terms on its behalf and confirm that you are authorized to do so.

1. The Service

Broto is a software platform for Indian customs-compliance work — HSN and HS classification, duty and FTA computation, ICEGATE Bill of Entry and Shipping Bill preparation, document extraction, shipment tracking, and automation of filings with government portals. Broto is a software tool that assists licensed customs professionals; it is not a customs broker, a law firm, or a government agency, and it does not provide legal, tax, or customs advice.

2. Eligibility and accounts

  • You must be at least 18 years old and use Broto for business purposes.
  • You are responsible for the accuracy of the information in your account, for keeping your credentials secure, and for all activity that occurs under your account.
  • Notify us promptly of any unauthorized use of your account.

3. Your responsibility for filings

  • Broto assists you in preparing classifications, duty calculations, and filing documents, but you remain solely responsible for reviewing and verifying every classification, duty figure, document, and declaration before it is submitted to any government portal or authority.
  • HSN classifications, duty and FTA rates, and generated flat files are provided to support your professional judgment, may contain errors, and may become out of date. They do not constitute legal, tax, or customs advice.
  • You are responsible for complying with all applicable customs laws and regulations and with the terms of the portals you use (including ICEGATE, PQMS, DGFT, and GST).

4. Third-party portals and connected accounts

  • When you use automation features, you authorize Broto to access and act within third-party services (for example ICEGATE, PQMS, DGFT, and GST) and connected mailboxes (for example Google / Gmail and Microsoft 365) using the credentials or authorizations you provide, solely to perform the actions you request.
  • Your use of those third-party services remains subject to their own terms. Broto is not responsible for the availability, accuracy, or actions of third-party services.
  • Connecting a Google account is additionally governed by our Privacy Policy and by the Google API Services User Data Policy.

5. Acceptable use

You agree not to:

  • misuse the Service or access data that does not belong to you;
  • attempt to breach or circumvent the Service's security;
  • reverse engineer, resell, or commercially exploit the Service except as permitted by law;
  • use the Service for any unlawful purpose or to submit false or misleading declarations to any authority; or
  • overload, disrupt, or scrape the Service.

6. Fees and plans

Some features are offered on a trial, credit, or subscription basis, which may include usage limits such as a job quota. Where fees apply, they will be disclosed to you, and you agree to pay the applicable charges.

7. Intellectual property and your data

  • Broto and its software, design, and content are owned by us and our licensors. We grant you a limited, non-exclusive, non-transferable right to use the Service.
  • You retain ownership of the data you submit ("Your Data"). You grant us a limited license to process Your Data solely to provide and improve the Service for you, as described in our Privacy Policy.

8. Privacy

Our handling of personal data is described in our Privacy Policy, which is incorporated into these Terms.

9. Disclaimers

The Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, or that any result it produces — including classifications, duty figures, or generated filings — will be accurate or accepted by any authority.

10. Limitation of liability

To the maximum extent permitted by law, Broto and its team will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, goodwill, penalties, demurrage, or detention charges, arising out of or related to your use of the Service. Our total aggregate liability for any claim is limited to the amount you paid us for the Service in the twelve months before the claim.

11. Indemnification

You agree to indemnify and hold Broto harmless from any claims, damages, and expenses arising out of your use of the Service, Your Data, or your violation of these Terms or of any applicable law.

12. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms or to protect the Service. On termination, your right to use the Service ends; provisions that by their nature should survive — including intellectual property, disclaimers, limitation of liability, and indemnification — will survive.

13. Changes to the Service and these Terms

We may modify the Service or these Terms. For material changes to these Terms, we will update the Last updated date above and take reasonable steps to notify you. Your continued use of the Service after a change means you accept the updated Terms.
